まず初めに、改めて心よりお詫び申し上げます。 同時に、皆さまのご支援が今もなお、Newton-Riderにとって非常に大きな意味を持っていることをお伝えしたいと思います。

皆さまが早い段階からNewton-Riderを信じ、支えてくださったからこそ、私たちは長年大きな変化が少なかった自転車用ヘルメットの分野において、本当に新しい技術を形にする挑戦を続けることができています。

N1neoは、従来型の自転車用ヘルメットではありません。 N1neoは、リニアプロテクションを提供する、世界初のセミソフトでフレキシブルな自転車用ヘルメットです。EN 1078プロトコルに基づくすべての試験を実施しており、より幅広い範囲で優れた衝撃吸収性能を示すデータも得られています。 このようなヘルメットを開発することは、従来の硬いEPSヘルメットを製造することよりも、はるかに複雑です。私たちは、既存製品の別バージョンを作っているのではありません。新しい素材構造、新しい保護コンセプト、そして新しい製造方法を、長年にわたり硬く剛性の高いヘルメット設計が主流であったカテゴリーに持ち込もうとしています。 だからこそ、量産に向けた最終段階は、非常に慎重に進める必要があります。

前回のご報告でお伝えした通り、私たちはヘルメット内部の重要部品について、欧州連合内の新たなサプライヤーと連携を進めてまいりました。これは、長期的な量産に必要な精度、一貫性、品質管理を確保するために不可欠な判断でした。これらの部品は、試験で示された高い性能を、すべてのヘルメットにおいて安定して再現するために重要な役割を担っています。

その後、N1neoの最終的な量産準備を完了するために必要な資金調達プロセスにおいて、想定外の遅れが発生しました。

私たちは、ドイツのベンチャーキャピタル投資家との投資プロセスにおいて、最終段階まで協議を進めておりました。しかし残念ながら、ドイツ国内の税制上の法的制約により、その投資家側で投資を完了することができなくなりました。

これは、Newton-Riderの技術、製品性能、安全性試験の結果、または市場での可能性に問題があったためではありません。投資家側の法務・税務上の制約によるものでした。 しかしながら、この影響により、量産準備の一部工程を当初の予定通りに進めることができず、N1neoヘルメットの生産開始に向けた準備にさらなる遅れが生じることとなりました。

この状況を受け、私たちは直ちに複数の新たな投資候補先との協議を開始しました。現在、これらの協議は前向きに進んでおり、2026年第2四半期中に結論を得られるものと確信しております。

何よりも大切な点として、N1neoの開発は止まっておりません。

私たちは引き続き、部品、サプライヤー、試験、製造準備、量産計画に関する作業を進めています。今回の遅れは、新たな安全上の問題やヘルメット技術の不具合によるものではありません。量産準備の最終段階を完了するために必要な資金調達のタイミングに関するものです。

さらにお待ちいただくことをお願いすることは、私たちにとっても非常に心苦しいことです。皆さまからいただいている信頼を、私たちは決して当然のものとは考えておりません。

皆さまのご支援は、単に一つの製品を支えているだけではありません。

長年大きな進化が限られてきたヘルメット技術に対して、より安全で、より現代的な選択肢を生み出す挑戦を支えてくださっているのです。 命を守るための製品である以上、私たちは妥協することはできません。予定日が過ぎたからという理由だけで、ヘルメットを出荷することはできません。私たちが安全性、品質、一貫性に責任を持てる製品として、自信を持ってお届けできる状態にしなければなりません。

現在の見通しとしては、進行中の投資交渉が完了した後、残りの量産準備工程を進め、より具体的な生産スケジュールをご案内できるようになると考えております。現時点では、2026年第2四半期中に投資交渉をまとめ、その後、量産に向けた最終準備を加速させる計画です。 日本のご支援者の皆さまには、改めて深く感謝申し上げます。皆さまの忍耐、ご理解、そしてNewton-Riderへの変わらぬ信頼に、心より御礼申し上げます。

Dear Backers, Thank you once again for your continued patience, understanding, and trust in Newton-Rider. We know that many of you have been waiting for the N1neo helmet for a long time. We also understand that each additional delay creates frustration and concern. For this, we sincerely apologize.

At the same time, we want to reassure you that your support continues to matter deeply. Because of your early belief in Newton-Rider, we have been able to continue developing a helmet that represents a genuine step forward in an industry where the basic technology has changed very little for decades.

The N1neo is not a conventional bicycle helmet. It is the first semi-soft and flexible bicycle helmet offering linear protection, tested to the full EN 1078 protocol, with data indicating superior impact absorption over a wider range. It has undergone all tests to the EN 1078 protocol. Developing this kind of helmet is significantly more complex than producing a traditional rigid EPS helmet. We are not simply making another version of an existing product. We are bringing a new material structure, a new protection concept, and a new manufacturing approach into a category that has long been dominated by hard, rigid helmet designs. This is why the final steps toward production must be handled with great care. As we explained in our previous update, we have been working with new EU-based suppliers for several important internal helmet components. This was necessary to achieve the level of precision, consistency, and quality control required for long-term production. These components are essential to ensuring that every helmet performs to the same high standard demonstrated during testing. Since our last update, we have also experienced an unexpected delay in the financing process required to complete the final production readiness of the N1neo helmet. We had reached the final stages of an investment process with a German venture capital investor.

Unfortunately, the investment could not be completed due to tax-related legal restrictions on the investor’s side under German tax law. This was not related to Newton-Rider’s technology, product performance, safety results, or market potential. It was a legal and tax-related limitation affecting the investor’s ability to finalize the investment. As a result, certain parts of our production preparation could not move forward as quickly as planned. This has created further delay in getting the N1neo helmet fully ready for production.

Following this development, we immediately began discussions with several other potential investors. These discussions are progressing positively, and we remain confident that we will be able to conclude them during Q2 2026. Most importantly, the development of the N1neo has not stopped. We are continuing the work related to components, suppliers, testing, manufacturing preparation, and production planning. The delay is not caused by a new safety issue or a failure in the helmet technology. It is related to the timing of the financing needed to complete the final steps toward production readiness. We understand that asking you to wait longer requires continued trust. We do not take that trust for granted. Your backing has helped us challenge a helmet category that has remained largely unchanged for many years, and it has allowed us to continue pushing toward a safer, more modern alternative for everyday riders. For a product designed to protect lives, we cannot compromise. We cannot send a helmet simply because a date has passed. We must deliver a helmet that meets our safety expectations, our production standards, and the trust you placed in us when you chose to support this project.

Our current expectation is that, once the ongoing investor discussions are concluded, we will be able to move forward with the remaining production readiness steps and provide a more specific production schedule. At this stage, we expect to conclude the investment negotiations during Q2 2026 and then accelerate the final preparations for mass production. To our Japanese backers: we are deeply grateful for your patience, support, and continued belief in Newton-Rider. You have not only supported a product. You have supported an effort to move bicycle helmet technology forward after decades of limited fundamental change.

Our responsibility is to honor that support by delivering the N1neo with the quality, consistency, and care it deserves. In our next update, we will aim to provide more concrete information about the financing progress and the next steps toward production. Once again, we sincerely apologize for the continued delay.
